1. Acceptance of Terms

By accessing or using the services provided by Specter Point Intelligence ("Company," "we," "our," or "us"), including our website, client portal, cybersecurity assessment platform, and digital investigation services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Specter Point Intelligence provides cybersecurity consulting and a self-service platform for small and medium businesses, including but not limited to: GRC compliance assessments across 20+ frameworks, penetration testing, vulnerability assessments, security architecture review, incident response planning, network telemetry, curated threat intelligence, and AI-narrated tabletop exercises. Our client portal provides secure access to assessments, reports, service requests, billing, and platform features.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable federal, state, local, or international law or regulation
• Upload or transmit malicious code, viruses, or any material designed to interfere with the Services
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Use the Services to conduct unauthorized security testing against third-party systems
• Impersonate or misrepresent your affiliation with any person or entity
• Upload content that infringes on the intellectual property rights of others
• Use our document sharing system for any purpose other than legitimate case-related file transfers

5. Payment Terms

Certain Services require payment, including subscription fees for assessment report access and fees for investigation and consulting services. All fees are quoted in U.S. dollars. Payment is processed through Stripe and is subject to Stripe's terms of service. Quotes provided are valid for the period specified and are subject to acceptance. Upon acceptance of a quote, an invoice will be generated. Payment is due upon receipt of invoice unless otherwise agreed in writing. We reserve the right to suspend access to the Services for overdue accounts.

6. Confidentiality

We understand the sensitive nature of the information shared through our Services. We treat all client data, assessment results, investigation findings, and uploaded documents as confidential. We will not disclose confidential information to third parties except as required by law, with your explicit consent, or as necessary to provide the Services. Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of engagement.

7. Intellectual Property

All content, methodologies, assessment frameworks, report templates, software, and materials provided through the Services are the intellectual property of Specter Point Intelligence or its licensors. You may not copy, modify, distribute, sell, or lease any part of our Services or included materials without our prior written consent. Reports generated for your organization are licensed for your internal use only.

8. Indemnification

You agree to indemnify, defend, and hold harmless Specter Point Intelligence, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any content or data you submit, upload, or transmit through the Services; or (e) your negligent or willful misconduct. This indemnification obligation will survive the termination of these Terms and your use of the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPECTER POINT INTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us during the twelve (12) months preceding the claim. Our cybersecurity assessments and reports provide guidance based on information available at the time and do not guarantee the prevention of security incidents.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. SECURITY ASSESSMENTS AND RECOMMENDATIONS ARE BASED ON INFORMATION PROVIDED AND KNOWN VULNERABILITIES AT THE TIME OF ASSESSMENT AND DO NOT GUARANTEE PROTECTION AGAINST ALL THREATS.

11. Account Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease. We may retain certain data as required by law or for legitimate business purposes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association in Colorado Springs, Colorado, or through the courts as specified in the Governing Law section above.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
